Investor-First Waterfall Structure

Our capital stack is designed to prioritize the return of investor capital. In all investments, the fund will receive return of capital and preferred returns before the developer receives any return of capital, payment of developer fees, or sponsor promote. This adds an extra layer of protection to our investors and ensures full alignment of interests.

Step 01
Return of Capital First
Investors receive 100% of their initial capital plus interest before the Developer receives any return of capital, payment of developer fees, or sponsor promote.
Step 02
Refinance Proceeds
Upon asset stabilization (typically within 24–36 months), we target a refinance event. These proceeds are used to repay investor capital, often in whole or in substantial part.
Step 03
Cash Flow Distributions
While the project is operating, excess cash flow is distributed to investors in the form of preferred returns or partial return of capital.
Step 04
Asset Disposition
Within 3–5 years, Terian Capital will exit investments either through a sale or buyout at appraised value by the sponsor and/or outside partners.
